Terms of Service

1. Acceptance of Terms

By accessing and using ManagerNest ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ManagerNest provides a platform for creating and managing Solana SPL tokens. The Service is a software tool only and does not provide financial, investment, or legal advice.

3. User Responsibilities

You are solely responsible for:

• All tokens created using the Service
• Compliance with applicable laws and regulations in your jurisdiction
• The security of your wallet and private keys
• Any use or misuse of tokens you create
• Determining the legality of token creation and distribution in your location

4. Service Fees

Service fees are clearly displayed before transaction confirmation. All fees are:

• Non-refundable once a transaction is initiated
• Paid in SOL (Solana cryptocurrency)
• Subject to change with prior notice

Blockchain network fees are separate and are paid directly to the Solana network, not to ManagerNest.

5. No Financial Advice

IMPORTANT: ManagerNest does NOT provide:

• Financial or investment advice
• Legal or tax guidance
• Recommendations on token creation or management
• Guarantees of token value or success

Consult qualified professionals before making financial decisions.

6. Limitation of Liability

ManagerNest and its operators are NOT LIABLE for:

• Financial losses from token creation or trading
• "Rug pulls" or fraudulent activities by token creators
• Smart contract vulnerabilities or exploits
• Blockchain network failures or congestion
• Loss of funds due to user error or wallet compromise
• Regulatory actions against tokens created using the Service
• Third-party services (Phantom wallet, Solana network, Raydium, etc.)

7. "Rug Pull" Disclaimer

A "rug pull" is a fraudulent practice where token creators abandon a project and abscond with investors' funds. ManagerNest provides only the technical tools for token creation and cannot:

• Verify the legitimacy or intentions of token creators
• Prevent malicious use of tokens created on the platform
• Guarantee the honesty or reliability of any token project
• Be held responsible for the actions of token creators

Use of the Service is at your own risk.

8. No Warranty

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

9. Blockchain Transactions

You acknowledge that:

• Blockchain transactions are irreversible
• Once confirmed, transactions cannot be cancelled or refunded
• You are responsible for verifying all transaction details before confirmation
• Network fees (gas) are non-refundable even if transactions fail

10. Prohibited Uses

You may NOT use the Service to:

• Create tokens for illegal purposes
• Engage in fraud, scams, or rug pulls
• Violate securities laws or regulations
• Infringe intellectual property rights
• Impersonate other projects or entities
• Promote illegal activities

11. Third-Party Services

The Service integrates with third-party services including:

• Phantom Wallet
• Solana Blockchain
• Raydium DEX
• Helius RPC

ManagerNest is not responsible for the performance, security, or availability of these third-party services.

12. Modifications to Terms

ManagerNest reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Termination

ManagerNest may terminate or suspend access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

14. Referral Program

The ManagerNest Referral Program allows users to earn rewards by referring others to the Service.

• Eligibility: Users must connect their Phantom wallet and maintain a valid account to participate.
• Referral Codes: Each user receives a unique, non-transferable referral code. Users may not use multiple referral codes or engage in self-referral abuse.
• Rewards: Referrers earn SOL rewards when referred users create tokens. Referred users receive discounts on token creation fees. Rewards are paid directly to the referrer's wallet.
• Fraud Prevention: ManagerNest employs fraud detection systems including IP tracking, browser fingerprinting, and trust scoring. Suspicious referral activity may result in immediate disqualification and forfeiture of earned rewards.
• Payout Policy: Rewards are paid automatically to your wallet as earned. You may request manual payouts at any time. Rewards are final once transferred to the user's wallet and non-refundable.
• Prohibition: Users may not artificially inflate referrals through: use of multiple accounts, automated bot networks, incentivized artificial signups, or other fraudulent methods.
• Right to Modify: ManagerNest reserves the right to modify or terminate the Referral Program, including changing reward amounts, at any time without notice.
• No Guarantees: Participation in the Referral Program does not guarantee specific earnings or returns.

15. Governing Law

These Terms are governed by the laws of Luxembourg. Any disputes shall be resolved in the courts of Luxembourg.

16. Cookies and Analytics

We use cookies and Google Analytics 4 to improve our Service:

• Cookies: Essential cookies for functionality and user preferences
• Analytics: Google Analytics 4 tracks usage patterns with your consent
